These Terms of Use Agreement ("Terms" or "Agreement") govern your access to and use of New Chapter Club, including our website, quiz, personal insights, personal companion support, guided support experience, reflection tools, text-based check-ins, voice check-ins, account features, paid access, and related services collectively, the "Services".

New Chapter Club ("New Chapter Club," "we," "us," or "our") is operated by Lanoto Solutions Inc. the "Company".

By accessing, registering for, purchasing, or using the Services, you agree to these Terms, our Privacy Policy, and any applicable Refund and Cancellation Policy. If you do not agree, you must not use the Services.

2. Nature of the Services

New Chapter Club provides a personal support service for adults navigating a new stage in life.

The Services may include:

  • a short personal check-in or quiz;
  • personal insight summaries;
  • a personalized support path;
  • personal companion support;
  • guided support experiences;
  • reflection tools;
  • text-based check-ins;
  • voice check-ins;
  • practical recommendations;
  • suggested next steps;
  • continued access to your results and account.

The Services are intended for general personal support, self-reflection, personal clarity, and personal growth.

The Services are not therapy, medical advice, mental health treatment, crisis support, legal advice, financial advice, or professional counseling. We do not diagnose, treat, prevent, or cure any medical or psychological condition.

If you are experiencing an emergency, crisis, or immediate danger, contact emergency services or a qualified professional immediately.

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services.

By using the Services, you represent and warrant that:

  • you meet the age requirement;
  • you have the legal right and capacity to enter into this Agreement;
  • all information you provide is accurate, current, and complete;
  • you will use the Services only for personal, non-commercial purposes;
  • your use of the Services will comply with these Terms and applicable law.

We may restrict, suspend, or terminate access if we believe you do not meet these requirements.

4. Account Registration and Security

Some parts of the Services may require an account or login.

You agree to:

  • provide accurate and current account information;
  • keep your login credentials confidential;
  • not share your account with others;
  • notify us if you believe your account has been accessed without authorization;
  • be responsible for all activity under your account.

We may suspend or terminate accounts that contain false or misleading information or are used in violation of these Terms.

5. How the Services Work

You may be asked to complete a short personal check-in or quiz about your current life stage, goals, preferences, support needs, and areas where you would like more clarity.

Based on your answers and activity, the Services may provide personal insights, a support path, reflection tools, recommended next steps, and access to personal companion support, including available text-based or voice check-ins.

You understand and agree that:

  • results and recommendations are based on the information you provide;
  • insights may not be complete, accurate, or suitable for every situation;
  • personal companion support is for general support and reflection only;
  • you remain responsible for your own decisions, actions, and wellbeing;
  • we do not guarantee any specific personal, emotional, relationship, health, financial, or life outcome.

6. Personal Companion Support

Where available, the Services may include support from a personal companion through text-based check-ins, voice check-ins, guided support, or other available communication options.

Personal companions provide general support, reflection, encouragement, and practical conversation. They do not provide licensed therapy, medical advice, diagnosis, treatment, legal advice, financial advice, or emergency support.

Availability, format, frequency, and scope of personal companion support may depend on your plan, location, operational availability, product design, and other factors. We may modify available support options at any time.

7. Subscriptions and Purchases

Some features of the Services require payment.

Available plans, pricing, billing terms, renewal terms, included features, and usage limits will be shown before purchase.

Paid access may include:

  • full personal insight summary;
  • personalized support path;
  • personal companion support;
  • text-based check-ins;
  • voice check-ins;
  • guided support experience;
  • reflection tools;
  • practical recommendations;
  • suggested next steps;
  • continued access to your results and account.

Payments may be processed by third-party payment providers, including Stripe.

We do not store your full credit card number or full payment credentials on our servers.

8. Recurring Billing and Cancellation

If you purchase a subscription with recurring billing, you authorize us and our payment processor to charge the applicable fees at the stated billing interval until you cancel.

Unless otherwise stated at purchase, subscriptions renew automatically.

Cancellation stops future recurring charges. It may not automatically result in a refund for amounts already paid unless required by law or stated in our Refund and Cancellation Policy.

9. Refunds

Refunds, if available, are governed by our Refund and Cancellation Policy and any terms shown at the time of purchase.

Unless otherwise required by law or expressly stated at purchase, fees already paid are non-refundable.

10. California Cancellation Rights

If you are a California resident, you may have the right to cancel certain purchases without penalty or obligation before midnight of the third business day following the original purchase date, where required by applicable law.

This right applies only where required by law. Other cancellations and refunds are governed by these Terms and our Refund and Cancellation Policy.

11. User Inputs and Content

You may provide information through quizzes, forms, reflection tools, support messages, check-ins, voice features, or other interactive features ("User Inputs").

You retain any rights you may have in your User Inputs. By submitting User Inputs, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, display, reproduce, analyze, and transmit them as needed to:

  • provide the Services;
  • personalize your experience;
  • prepare insights, recommendations, support paths, and next steps;
  • provide personal companion support;
  • operate, maintain, protect, and improve the Services;
  • comply with legal obligations.

You are responsible for the User Inputs you provide. You agree not to submit information that violates the rights of others or that you do not have the right to provide.

12. Non-Commercial Use

The Services are for personal, private, non-commercial use only.

You may not use the Services for:

  • resale;
  • commercial research;
  • competitive analysis;
  • building a competing product;
  • scraping or copying content;
  • advertising or solicitation;
  • automated data collection;
  • business or organizational use without our prior written permission.

13. Prohibited Activities

You agree not to use the Services to:

  • violate any law or regulation;
  • provide false, misleading, or fraudulent information;
  • impersonate another person or entity;
  • interfere with or disrupt the Services;
  • attempt unauthorized access to systems, accounts, or data;
  • use bots, scripts, crawlers, scrapers, or automated systems without permission;
  • reverse engineer, copy, modify, or create derivative works from the Services;
  • upload or transmit malware, viruses, or harmful code;
  • harass, threaten, abuse, exploit, or harm others;
  • submit sexually explicit, hateful, violent, discriminatory, or unlawful content;
  • promote illegal activity;
  • misuse payment systems, refunds, promotions, or chargebacks;
  • use the Services in a way that may harm New Chapter Club, other users, personal companions, service providers, or third parties.

We may suspend or terminate access if we believe you have violated these rules.

By providing your email address or phone number, you agree that we may contact you for service-related purposes, including:

  • purchase confirmations;
  • billing reminders;
  • subscription updates;

  • check-in reminders;
  • security notices;

If we send SMS messages, message and data rates may apply. You may opt out by following the instructions in the message, where available.

15. Third-Party Services

  • email and messaging;
  • marketing measurement;
  • product functionality.

Third-party services are operated by independent providers. We are not responsible for third-party services, websites, systems, outages, errors, or policies.

Your use of third-party services may be subject to their own terms and privacy policies.

16. Intellectual Property

All rights, title, and interest in the Services, including software, design, text, graphics, logos, branding, interfaces, content structure, workflows, databases, and other materials, are owned by or licensed to the Company.

You may not copy, modify, distribute, sell, lease, reverse engineer, publicly display, publicly perform, or otherwise exploit any part of the Services except as expressly allowed by these Terms.

Using the Services does not give you ownership of any intellectual property rights in the Services.

17. Feedback

If you provide feedback, suggestions, ideas, or recommendations about the Services, you grant us the right to use them without restriction or compensation to you.

We may use feedback to improve, modify, market, or develop the Services.

18. Disclaimers

The Services are provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, security, and non-infringement.

We do not guarantee that:

  • the Services will meet your expectations;
  • your insights, support path, recommendations, or check-ins will be accurate, complete, or suitable for your situation;
  • any particular outcome will occur;
  • the Services will be uninterrupted, error-free, or secure;
  • personal companion support will be available at all times;
  • any defects will be corrected;
  • the Services will be free from viruses or harmful components.

Your use of the Services is at your own risk.

19. No Emergency Use

The Services are not designed for emergency situations.

Do not use the Services if you are in immediate danger, experiencing a medical or mental health emergency, or require urgent assistance.

In an emergency, contact local emergency services, a crisis hotline, or a qualified professional immediately.

20. Limitation of Liability

To the maximum extent permitted by law, New Chapter Club, the Company, and their officers, directors, employees, contractors, affiliates, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including damages for:

  • emotional distress;
  • loss of data;
  • loss of profits;
  • loss of goodwill;
  • business interruption;
  • reputational harm;
  • cost of substitute services;
  • inaccurate or incomplete results;
  • decisions made based on the Services;
  • unavailability or delay of personal companion support.

To the maximum extent permitted by law, our total liability for any claim related to the Services will not exceed the amount you paid to us for the Services during the twelve months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

21. Indemnity

You agree to indemnify, defend, and hold harmless New Chapter Club, the Company, and their officers, directors, employees, contractors, affiliates, agents, suppliers, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • your use of the Services;
  • your violation of these Terms;
  • your violation of applicable law;
  • your User Inputs;
  • your violation of third-party rights;
  • your misuse of payments, subscriptions, refunds, promotions, or chargebacks.

22. Suspension and Termination

We may suspend, restrict, or terminate your access to the Services at any time if:

  • you violate these Terms;
  • you misuse the Services;
  • your payment fails or is disputed;
  • we suspect fraud, abuse, or unauthorized activity;
  • we are required to do so by law;
  • continuing to provide access creates risk for us, users, personal companions, service providers, or third parties.

You may stop using the Services at any time.

Termination does not limit any rights or remedies available to us under these Terms or applicable law.

Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, limitation of liability, indemnity, dispute resolution, and governing law.

23. Chargebacks and Transaction Disputes

If you initiate a chargeback or otherwise dispute a transaction, we may provide relevant information to the payment processor, card network, bank, or financial institution to verify the transaction.

This information may include:

  • billing records;
  • transaction ID;
  • timestamps;
  • subscription status;
  • account activity logs;
  • usage records;
  • communications with customer support.

We handle such information in accordance with our Privacy Policy and applicable law.

24. Changes to the Services

We may modify, update, suspend, or discontinue any part of the Services at any time.

We may change features, content, pricing, availability, support formats, communication options, or functionality. If changes materially affect a paid subscription, we will provide notice where required by law.

We are not liable for any modification, suspension, or discontinuation of the Services.

25. Changes to These Terms

We may update these Terms from time to time.

When we update them, we will revise the "Last Updated" date above. We may also provide additional notice where required by law.

Your continued use of the Services after updated Terms become effective means that you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using the Services.

26. Governing Law and Dispute Resolution

26.1 United States Users

If you reside in the United States, these Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

You and the Company agree that disputes will be resolved through binding individual arbitration, except where prohibited by law or where a claim may be brought in small claims court.

Arbitration will be administered by the American Arbitration Association "AAA" under its applicable consumer arbitration rules.

You and the Company agree that any dispute will be brought only in an individual capacity and not as a class action, collective action, private attorney general action, or other representative proceeding.

You and the Company waive the right to a jury trial to the maximum extent permitted by law.

26.2 Non-U.S. Users

If you do not reside in the United States, these Terms are governed by the laws of England and Wales, unless mandatory local law requires otherwise.

Any dispute will be resolved through binding individual arbitration under the LCIA Rules, unless prohibited by applicable law.

The arbitration will take place in London, United Kingdom, in English, unless otherwise required by applicable law.

26.3 Informal Resolution

Before initiating arbitration or court proceedings, you agree to first contact us at:

27. Export Controls

You agree not to use, export, re-export, or transfer any part of the Services in violation of applicable export control or sanctions laws.

You represent that you are not located in, under the control of, or a resident or national of any country or territory subject to applicable trade sanctions, and that you are not listed on any applicable restricted-party list.

28. Copyright Complaints

If you believe that content available through the Services infringes your copyright, please contact us at:

  • identification of the copyrighted work;
  • identification of the allegedly infringing material;
  • a statement that you have a good-faith belief the use is unauthorized;

We may remove or restrict access to allegedly infringing material where appropriate.

29. Miscellaneous

These Terms, together with the Privacy Policy and any applicable Refund and Cancellation Policy, constitute the entire agreement between you and us regarding the Services.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision is not a waiver of our right to do so later.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, restructuring, sale of assets, or by operation of law.

The English version of these Terms controls over any translation.
